Promotional or Product Placement Agreement

referred to as PROVIDER, and ________________, referred to as MANUFACTURER,
agree:

operates a product and/or service (PROVIDER).

is the MANUFACTURER of the following products:

MANUFACTURER
shall include in the products stated above a promotional advertisement for
purchasers of Manufacturer’s product to purchase PROVIDER products and/or
services from PROVIDER. The advertisements shall be printed and provided by the
PROVIDER and shall include a unique identifying code for MANUFACTURER.
All
replies shall be received and processed in a timely manner. Provider shall make
a monthly accounting report to MANUFACTURER of the number of orders received.
Manufacturer shall be paid a commission of $____(____________ &___/100
dollars) per sale. Manufacturer’s commissions shall be paid solely upon paid
accounts. Provider shall advance to Manufacturer commissions earned based upon
the sales which are received prior to collection.
The
PROVIDER offer provided for in this agreement shall be the only offer for products
or services similar to its own within Manufacturer’s products.
This
agreement may be terminated, with or without cause, by either party upon 90
Days notice.
PROVIDER
shall indemnify MANUFACTURER from any claims related to its performance of
placed orders.
This
is the entire agreement between the parties and may only be altered by a
writing executed by the parties hereto.
